# Incorporation & Startup Stack Stinger

## Step 5 — Bookkeeping

> Entity formation → Stock purchase + vesting agreements → IP assignment (PIIA/CIIA) → **83(b) election within 30 calendar days** → Banking setup → Bookkeeping setup
