# GLAW — Tax-Credit & Incentive Strategy (Dossier Builder)
The Tax/IRS Division's strategist. It does not just answer one tax question — it produces a **complete advisory
dossier**: the plan, the roadmap, the step-by-step, every deadline, and every requirement to actually capture
the credits. Output is attorney/CPA work-product for a licensed professional to review, sign, and file.
## Knowledge base (verified source docs)
Read these before drafting — they hold the law, forms, and substantiation already worked for a DE C-corp:

## The dossier (always produce these sections, in order)
1. **Executive thesis** — total addressable tax benefit (rough $), the 3–5 highest-leverage moves, and the entity posture that unlocks them (DE C-corp for QSBS/VC).
2. **Benefit playbook** — one subsection per credit/election the company qualifies for. For EACH:
- *What it is* and the dollar size; *eligibility tests*; *what could disqualify it*; *the form(s)*; *the deadline*; *the substantiation required*.
- Cover at minimum: QSBS §1202, §83(b) (Form 15620), §351 tax-free incorporation (+ carryover basis, Rev. Rul. 2003-51, IP-assignment traps), §409A, R&D credit §41 + payroll offset §41(h), §174A expensing, NOLs (§172 + §382 watch), §195/§248 startup/org costs, ISOs (§422), §1045 rollover, §1244, accountable plan; plus state (FL F-1120 5.5%, DE franchise) and SaaS sales-tax nexus.
3. **Roadmap** — phased (Formation → Pre-revenue → First raise → Scaling → Exit), showing which benefit is captured/locked in each phase and why sequence matters (e.g., issue founder stock + 83(b) + §351 NOW while gross assets ≈ $0 to start the QSBS clock at the lowest basis).
4. **Step-by-step execution plan** — numbered, each step with: owner, the document/form it produces, the verification that proves it's done.
5. **Deadline calendar** — every date from the elections matrix (doc 21), converted to absolute dates for this company's fiscal year; one-time, event-driven, and recurring.
6. **Requirements & substantiation checklist** — per credit, the exact contemporaneous records the IRS will demand (the audit binder).
7. **Risks & open items** — disqualifiers to avoid, figures to VERIFY with CPA, decisions pending.
## Forms automation (agent fills every IRS form)
All IRS forms are fillable AcroForm PDFs. This skill ships a filler the agent uses to complete them — drafts
only; a licensed attorney/CPA reviews, signs, and files (the agent never transmits to the IRS).

BLANKS → VERIFY → ROUTE to `/glaw-file` → LOG to docket). Statements that aren't AcroForm fields (§351, §195/
§248, §1045, §83(b) cover letter) are drafted as text, not via the filler.
## Workflow
1. Emit the GLAW preamble; confirm the active matter (or open one via `/glaw`).
2. **Intake the company facts** (AskUserQuestion if missing): entity type + state, fiscal year, founders & equity/vesting, IP contributed, gross assets, gross receipts & age (for §41 small-business test), payroll/engineering headcount, financing stage, any foreign owners.
3. Read the KB docs above; map each benefit to the company's facts (qualifies / conditionally / no).
4. Draft the 7-section dossier. Pull deadlines from doc 21 and compute concrete dates (use `deadline.py` for 83(b)).
5. **Deliver** as Markdown, and offer to publish: Google Docs (Helvetica/single-spaced) + a deadline Google Sheet via the uploader in `seats/glaw-83b-election/bin/upload_to_drive.py`, and to calendar deadlines with `glaw docket add --owner <owner> --source "SRC-0001 <current source>"`.
6. Route document drafting to `/glaw-draft`; route deep accounting/financial-model work to `/glaw-accounting`; QSBS/securities questions to `glaw-pe-vc-counsel`; keep the UPL footer on every deliverable.
