# Cap Table and Equity Waterfall
## Workflow
1. Inventory every security, holder, class, share count, conversion right, and preference.
2. Reconcile ownership percentages to 100% and preserve the source cap table.
3. Run `bin/glaw-cap-table-waterfall validate <input.json>`.
4. Run `bin/glaw-cap-table-waterfall analyze <input.json>` for preference, residual, and holder payouts.
5. Test exit values below preference, at preference, and above conversion break-even.
6. Hand the fully diluted ownership and payout bridge to merger, closing, and board-materials lanes.
## Hard stops
- Do not allocate proceeds from an ownership table that does not reconcile to 100%.
- Do not assume preferred conversion, participation, or preference terms that are not sourced.
- Do not describe a payout as final without reviewing governing instruments and human approval.
